INSTITUTIONAL EYE Request for comment: Proposed changes to IiAS’ Voting Guidelines - 2022-23 18 Feb, 2022

IiAS’ requests comments from market participants on the proposed changes to our voting guidelines. These form a part of the ongoing review of our voting guidelines. If adopted, these changes will become effective from 1 April 2022. The changes have been proposed taking into account the evolving governance landscape, regulatory changes, market feedback and changing global outlook on key issues. Please note that these changes, should be read along with our existing guidelines.

The proposed changes cover our proposed voting policy on multiple issues including: independent directors with business linkages to companies, experience criteria for directors, commission structures, nomination rights for investors, among others.
